Mourant, the international professional services group, has acted for members of the NCB Financial Group on a strategic intra-group transaction which represents a key step for the Group in optimising its corporate structure to support sustainable growth and long-term performance.
The transaction involves the sale of NCB Financial Group Limited’s (“NCBFG”) wholly owned subsidiaries, NCB (Cayman) Limited and NCB Trust Company (Cayman) Limited, to its Bermuda-based banking subsidiary Clarien Bank Limited. Completion of the sale was announced on 31 August 2026, following the receipt of requisite regulatory approvals.
The deal is anticipated to enhance the Group’s operational efficiency and consolidate its offshore wealth and investment capabilities under the Clarien brand. The Cayman operation is expected to be rebranded Clarien Bank and Investments Limited.
